Assistant Manager/Senior Executive – Company Secretarial

Job Profile

• Responsible to maintain Board and Committee records including papers, minutes and registers.
• Attend to timely submission of Forms as required under the Company Law and maintain statutory records and registers, liaise with the Registrar of Companies, Colombo Stock Exchange and other relevant regulatory bodies and ensure regulatory compliance.
• Ensure compliance with relevant statutory requirements and governance.
• Attend to the compilation and preparation of Annual Reports and other reports on ad-hoc basis.
• Attend to the varying forms of share and debt capital issuance and re-structuring including private placements, rights issues, amalgamation, takeovers and share buy-backs.

Candidate Profile

• Fully qualified Chartered Secretary or having a legal qualification is a must.
• Should have minimum 02 years of post-qualification company secretarial work experience.
• Good knowledge of the company law and related rules/regulations applicable to the secretarial practice.
• Ability to handle share holder matters & share holder transfers.
• Good knowledge of the Listing Rules and experience in handling public listed companies.
• Willingness to work with dedication and be part of a team of professionals.
• Fluency in spoken and written English and Sinhala Excellent and computer literate with ability to work in a fully computerized working environment.
