DUTIES & RESPONSIBILITIES
- To function as the Authorized Person in terms Section 130C of the Companies (Amendment) Act No.12 of 2025 and Regulation 4 of the Companies (Beneficial Ownership) Regulations No.1 of 2026, and to perform any other compliance related functions for the group.
- Acting as the Registered Company Secretary for Group companies.
- Maintaining statutory registers, including the Register of Members, Register of Directors, Register of Directors' Interests, and Directors'/Shareholders' Minute Books.
- Convening and attending directors' and shareholders' meetings, preparing minutes, and filing statutory forms with the Registrar-General of Companies.
- Overseeing secretarial and registrar's functions of a designated group company, liaising with its corporate secretaries, and maintaining meeting minutes and resolutions of the Group Charitable Trust.
- Coordinating with trademark agents on registrations and renewals of trademarks for Group companies.
QUALIFICATIONS & REQUIREMENTS
- Attorney-at-Law, duly enrolled and licensed by the Supreme Court of Sri Lanka.
- Registered as a Company Secretary with the Registrar of Companies under the Companies Act No 7 of 2007.
- Associate/Fellow membership of the Institute of Chartered Corporate Secretaries of Sri Lanka (ICCSL) or ICSA (UK) will be a distinct advantage.
- Minimum 3 - 5 years' experience in corporate secretarial practice and legal advisory work.
- Thorough knowledge of the Companies Act No 7 of 2007, corporate governance principles, and compliance frameworks.
- Excellent drafting and communication skills in English.
- Proficiency in MS Office applications and familiarity with e-ROC filing systems.
- High standards of integrity, confidentiality, and organizational skills.
