Role Summary
Join our Legal, Regulatory & Compliance team and play a key role in corporate secretarial functions, compliance management and legal administration across the Group.
Key Responsibilities
- Function as the Authorised Person in terms of Section 130C of the Companies (Amendment) Act No.12 of 2025 and Regulation 4 of the Companies (Beneficial Ownership) Regulations No.1 of 2026, and perform other compliance-related functions.
- Act as the Registered Company Secretary for Group companies.
- Maintain statutory registers, including the Register of Members, Register of Directors, Register of Directors' Interests, and Directors'/Shareholders' Minute Books.
- Convene and attend directors' and shareholders' meetings, prepare minutes, and file statutory forms with the Registrar-General of Companies.
- Oversee secretarial and registrar's functions of a designated group company, liaise with corporate secretaries, and maintain meeting minutes and resolutions of the Group Charitable Trust.
- Coordinate with trademark agents on registrations and renewals of trademarks for Group companies.
Requirements/Qualifications
- Attorney-at-Law, duly enrolled and licensed by the Supreme Court of Sri Lanka.
- Registered as a Company Secretary with the Registrar of Companies under the Companies Act No 7 of 2007.
- Associate/Fellow membership of the Institute of Chartered Corporate Secretaries of Sri Lanka (ICCSL) or ICSA (UK) is a distinct advantage.
- Minimum 3 - 5 years' experience in corporate secretarial practice and legal advisory work.
- Thorough knowledge of the Companies Act No 7 of 2007, corporate governance principles, and compliance frameworks.
- Excellent drafting and communication skills in English.
- Proficiency in MS Office applications and familiarity with e-ROC filing systems.
- High standards of integrity, confidentiality, and organizational skills.
