Role Summary

Join our team as a Company Secretarial Manager and play a key role in supporting our clients with their corporate compliance and governance needs. This role offers the opportunity to work closely with a diverse client base in a professional and growth-oriented environment.

Key Responsibilities

  • Lead and manage the Company Secretarial function for a portfolio of local and foreign clients.
  • Provide expert advice on corporate governance, company law, regulatory compliance, and statutory requirements.
  • Manage company incorporations, restructurings, and other corporate transactions.
  • Review and approve board and shareholder documentation, statutory records, and regulatory filings.
  • Ensure compliance with the Companies Act and other applicable laws and regulations.
  • Liaise with the Registrar of Companies, regulatory authorities, government institutions, and external stakeholders.
  • Support/carry out due diligence, mergers and acquisitions, and other corporate advisory engagements.
  • Build and maintain strong client relationships while delivering high-quality advisory services.
  • Lead, mentor, and develop the Company Secretarial team to ensure service excellence.
  • Monitor legislative developments and collaborate with internal Audit, Tax, Advisory, and Legal teams.
  • Carry out voluntary winding up processes for companies.

Requirements

  • Full qualification or Associate Membership of the Institute of Chartered Corporate Secretaries of Sri Lanka (ICCSLK) is preferred or LL.B. degree or equivalent qualification in Law.
  • Attorney-at-Law qualification will be an added advantage.
  • Minimum 4-6 years of relevant experience in Company Secretarial practice, including experience in a managerial role.
  • Strong knowledge of the Companies Act, corporate governance principles, and regulatory compliance requirements.
  • Proven experience in advising boards, senior management, and corporate clients on company secretarial and governance matters.
  • Excellent legal drafting, analytical, negotiation, and communication skills.
  • Strong leadership, client relationship management, and stakeholder engagement abilities.
  • High level of professionalism, integrity, attention to detail, and sound commercial judgment.
  • Proficiency in Microsoft Office and company secretarial management systems will be an added advantage.
